Terms and Condition

Welcome to Welburn Candles Private Limited ("Company", "we", "our", "us"). These Terms and Conditions govern your commercial relationship with us, access to our digital platforms, and the procurement of business-to-business (B2B) services including contract candle manufacturing, private label development, custom wax blending, fragrance engineering, and bulk export operations.

By submitting business inquiries, requesting technical quotations, placing purchase orders, or contracting manufacturing services with Welburn Candles, international buyers, corporate clients, and purchasing entities agree to strictly adhere to the commercial terms set forth below.

1. Nature of B2B Commercial Operations

Welburn Candles operates strictly as an industrial B2B contract manufacturer and wholesale exporter. We do not engage in direct-to-consumer (D2C) retail sales through this digital portal.

• All product specifications, custom wax blends, pricing tiers, and production schedules are formalized exclusively via official Proforma Invoices, Supply Agreements, or validated Purchase Orders (POs).
• Information presented on this site serves purely for enterprise overview, operational capability disclosure, and professional B2B inquiry generation.

2. Business Inquiries, Quotations & MOQs

Submitting an online trade inquiry or preliminary specification sheet does not constitute a legally binding sales agreement.

• Official Quotations are issued in writing by our export account management team and remain valid for the timeframe specified in the quote (typically 30 calendar days due to raw material and wax commodity fluctuations).
• Minimum Order Quantities (MOQs) apply per product category: 20,000 units for tealight candles, 1,000 units per SKU for scented jar candles, and 500 kg of wax formulation for pillar or household utility candles. Pilot runs for established brands are subject to written approval.

3. Contract Execution & Order Confirmation

Production scheduling commences only upon complete execution of the following milestone requirements:

• Receipt of a signed Purchase Order matching our formal quotation terms.
• Written sign-off on pre-production golden samples, fragrance throw profiles, packaging dielines, and artwork proofs.
• Credit approval or receipt of agreed initial advance payment (Deposit) into our designated corporate bank account.
• Post-confirmation modifications to fragrance load, vessel specifications, packaging, or order volumes may adjust unit pricing and lead times.

4. Custom Formulation & Private Label Manufacturing

We engineer custom candle lines utilizing natural soy wax, coconut-soy blends, beeswax, refined paraffin, and IFRA-compliant fragrance systems according to client specifications.

• Custom production runs, specialized fragrance blends, proprietary container designs, and branded packaging cannot be canceled or refunded once raw material procurement or pouring has initiated.
• Natural wax behavior: Minor batch-to-batch variations in color hue, frosting, or surface texture are inherent characteristics of eco-friendly vegetable waxes and hand-finished artisanal pouring, and do not constitute manufacturing defects.

5. Quality Assurance, Compliance & Standards

Welburn Candles adheres strictly to international quality management and social accountability standards.

• Our manufacturing facility in Bidadi Industrial Area operates under audited ISO 9001:2015 quality management systems and SA 8000 social accountability certification.
• We perform in-house burn rate evaluation, safety testing, and temperature stability checks according to ASTM F2417 guidelines. Safety Data Sheets (SDS), CLP/GHS label documentation, and REACH compliance declarations are available upon request.

6. Pricing, Currency & Payment Terms

All price quotations are stated in US Dollars (USD), Euros (EUR), or Indian Rupees (INR) as agreed in commercial contracts.

• Prices are quoted on FOB (Free On Board) Port of Chennai / ICD Bangalore, CIF (Cost, Insurance & Freight), or DDP (Delivered Duty Paid) terms depending on buyer agreement. Quotes exclude local customs duties, import tariffs, or destination port taxes unless explicitly itemized.
• Payment terms are defined per contract: standard terms involve Telegraphic Transfer (T/T) advance deposit with balance against Bill of Lading (B/L) copy, or confirmed Irrevocable Letter of Credit (L/C) at sight for large container volumes.

7. Shipping, Freight Logistics & Transfer of Risk

Delays caused by raw material supply chain disruptions, port congestion, customs clearance holds, or force majeure events remain beyond our reasonable control, though we maintain proactive communication.

• For FOB shipments, risk of loss, cargo damage, or transit transit liability transfers completely to the buyer once container loads are received at the designated port or handed over to the carrier.
• Buyers are advised to secure adequate marine freight insurance for ocean transit. Claims for manufacturing defects or shipping discrepancies must be logged in writing within 14 business days of container receipt at your destination warehouse.

8. Intellectual Property & Non-Disclosure (NDA)

Welburn Candles respects brand ownership and proprietary trade secrets.

• Client intellectual property, custom artwork, logos, trademarked vessel designs, and proprietary fragrance concepts remain the exclusive property of the client.
• All technical specs, pricing matrices, factory processes, and custom formulations exchanged during project development are treated with strict confidentiality. Non-Disclosure Agreements (NDAs) are executed upon request.

9. Limitation of Liability

Welburn Candles shall not be held liable for indirect, incidental, punitive, or consequential commercial damages, lost profits, or supply chain downtime arising from contract execution or delayed deliveries.

Our total cumulative liability for any verified non-conforming shipment shall not exceed the invoice value of the specific order under formal dispute.

10. Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal dispute, arbitration, or commercial claim arising from business engagements with Welburn Candles Private Limited shall be submitted to the exclusive jurisdiction of the competent courts in Karnataka, India.
